Заемный капитал
Денежные средства, заимствованные компанией из внешних источников посредством выпуска ценных бумаг с фиксированным процентом. Кредиторы, финансирующие заемный капитал, обычно не участвуют в прибылях компании в отличие от акционеров, однако регулярно получают плату в виде процентов согласно условиям договора о займе. Они имеют приоритет перед акционерами в получении процентных выплат с прибыли и возврате средств в случае банкротства компании. Выпущенные ценные бумаги имеют разную степень кредитного риска. Наиболее надежными являются облигации (см. Debenture), обеспеченные фиксированными активами компании, которые кредитор может востребовать в случае неплатежеспособности должника. Далее идут облигации, обеспеченные ликвидными активами компании и, наконец, облигации с низким статусом, так называемые «бросовые» (см. Junk bonds), которые при банкротстве оплачиваются в последнюю очередь. Степень риска отражается в процентных ставках, которые выплачиваются кредиторам: по субординированным долговым обязательствам предлагаются более высокие процентные ставки. См. (заемный капитал) Деньги, необходимые для финансирования деятельности организации, которые она получает в результате займов (см.: debenture( долговое обязательство)), в отличие от ее акционерного капитала (share capital). Основными преимуществами заемного капитала, по сравнению с капиталом акционерным, являются следующие: при наличии у компании средств его можно быстро возвратить, процентные ставки по займам вычитаются из налогооблагаемых сумм, а при выпуске долговых обязательств не взимается гербовый сбор, которым облагаются выпускаемые компанией ценные бумаги. В отличие от акционерного капитала, подразумевающего участие в прибылях организации, заемный капитал представляет собой доход на ценные бумаги с фиксированным процентом. -
